Raising investment means giving away equity, but do you know how much?
This free calculator helps you understand exactly what you're exchanging for funding, how your stake gets diluted across multiple rounds, and where each founder ends up. Put in your numbers and see the full picture before you walk into that investor meeting.
Equity & Dilution: What Founders Ask Most
-
The rule of thumb most UK investors work to is 10-20% per round. Give away much more than 25% at pre-seed and the maths gets hard later: by Series A you can end up below the ownership level investors want founders to keep. If a deal asks for more, question the valuation, not just the cheque size.
-
It compounds. Start at 100%, sell 15-20% at pre-seed, seed and Series A, add a 10% option pool, and most founding teams land somewhere near 50% by Series A. That is normal, not a failure. Put your own numbers into the calculator above to see where you'd end up.
-
Yes, a lot. Most UK angels expect SEIS or EIS relief before they'll write a cheque - it derisks their money, not your equity. Get HMRC advance assurance before you start the raise. It's often the difference between a fast yes and a slow maybe.
-
Around 10% set aside at pre-seed or seed is typical. Watch where it comes from: investors usually want the pool created pre-money, which means it comes out of the founders' share, not theirs. It's one of the most negotiable lines on a term sheet - so negotiate it.
-
Start before you raise. Most failed raises fail on preparation, not the idea. Get your story, model and data room straight first - that's what my investment readiness work covers - or book a free Funding Clarity Call and we'll find your gaps together.
